By entering into a Service Agreement with Fyrestoke, the Client agrees to the applicable Terms & Conditions provided at the time of booking, subject to all rights and protections available under applicable law.

These Terms & Conditions should be read together with the Client’s signed Service Agreement, accepted proposal, invoice, and any approved written amendments.

1. Quotes, Proposals, and Pricing

  • Quote Validity: Quotes and proposals are prepared based on the event details provided at the time of inquiry and remain valid for 14 days unless otherwise stated.
  • Pricing: Pricing is based on the agreed menu, guest count, service requirements, event location, timing, and any additional services selected. Changes to these details may result in revised pricing, subject to written approval.
  • Additional Charges: All pricing is provided in Canadian dollars. Applicable taxes, rentals, additional services, venue fees, and other charges will be identified in the proposal or invoice.
  • Booking Confirmation: The accepted proposal outlines the selected services and pricing and is incorporated into the Client’s Service Agreement. A booking is only confirmed once the agreement has been signed and the required payment has been received.

2. Booking, Deposits, and Payments

  • Booking Confirmation: An event booking is confirmed once Fyrestoke receives a signed Service Agreement and the required initial payment. Event dates are not guaranteed until both requirements have been satisfied.
  • Payment Structure: Our standard payment schedule requires 50% of the agreed total at booking, with the remaining 50% due no later than 10 days before the event. Alternative payment arrangements must be agreed upon in writing and documented in the Service Agreement or invoice.
  • Pay-in-Full Options: Clients may be offered the option to pay their catering balance in full at booking in exchange for eligible discounts, promotional credits, or additional benefits. These offers are subject to the specific terms provided at the time of booking and are not automatically available for every event.
  • Refunds and Cancellations: All advance payments, including deposits and pay-in-full amounts, are subject to the cancellation and refund provisions outlined in Section 4 and any applicable legal rights.
  • Late or Missed Payments: For Clients using the standard 50/50 payment plan, the remaining balance must be paid by the agreed due date. If payment is not received, Fyrestoke will issue written notice providing an opportunity to resolve the outstanding balance before services are cancelled. If payment remains outstanding after the specified notice period, Fyrestoke may cancel the booking. Any refund or retention of payments already received will follow the cancellation schedule outlined in Section 4, based on the date of cancellation.Where cancellation occurs 30 days or fewer before the event, no refund will be available under the standard cancellation schedule, except where required by applicable law. No additional catering cancellation balance will be charged for services cancelled under this provision.

3. Changes After Booking

  • Event Changes: Fyrestoke will make reasonable efforts to accommodate changes to guest counts, menu selections, service requirements, event timelines, or other agreed details. All changes are subject to availability and may result in adjustments to pricing, staffing, equipment, or service arrangements.
  • Approval of Changes: Any changes affecting the agreed services or pricing must be confirmed in writing by both parties. Updated details will be reflected in the relevant event documentation.
  • Last-Minute Requests: Changes requested close to or during the event are subject to availability, operational capacity, and food safety requirements. Fyrestoke cannot guarantee that all requests can be accommodated.

  • Standard Cancellation and Refund Schedule: For voluntary client-initiated cancellations, the following schedule applies to catering payments received by Fyrestoke, subject to applicable law.
Notice Before EventStandard Refund
120 days or more70% of payments received
61–119 days50% of payments received
31–60 days25% of payments received

  • Calculation of Refunds: Refunds are based on catering payments actually received, after applicable discounts and promotional credits. This policy applies to both the standard 50/50 payment plan and pay-in-full bookings. Following a client-initiated cancellation, Fyrestoke will not require payment of an additional outstanding catering balance solely as a result of that cancellation.
  • Reasonable Cancellation Charges: Amounts retained under this schedule are intended to account for event planning, preparation, reserved event capacity, commitments, and losses associated with cancellation. Cancellation charges are subject to applicable law, including limits on unreasonable or unenforceable forfeitures. Fyrestoke will provide any greater refund required by law and will not recover the same loss twice.
  • Third-Party Expenses: Separately approved rentals, specialized orders, and other third-party commitments may be subject to their own disclosed cancellation conditions. Any non-recoverable charges must be supported by the applicable agreement or expense records. Charges already accounted for through Fyrestoke’s cancellation provisions will not be charged again.
  • Non-Payment: For Clients on the standard 50/50 payment plan, failure to resolve an overdue final payment after written notice may result in cancellation of services. Any retention of previously received payments will be subject to the applicable cancellation provisions and legal rights.
  • Postponements: Requests to postpone an event will be considered individually, subject to availability, event requirements, and any approved additional costs. Postponements must be confirmed in writing. If a new date cannot be agreed upon, the applicable cancellation provisions and statutory rights will determine the outcome.
  • Cancellation by Fyrestoke: If Fyrestoke cancels an event for reasons within its reasonable control, payments received for the cancelled services will be refunded in full. Events affected by circumstances beyond reasonable control are addressed in Section 13, Force Majeure.
  • Refund Processing: Refunds will be processed within 15 calendar days after cancellation notice is given, or sooner if required by applicable law. Applicable tax adjustments will be reflected in the final refund calculation.
  • Consumer Rights: Nothing in these Terms & Conditions limits, excludes, or waives any cancellation, refund, or other rights available to the Client under the Consumer Protection Act, 2002, or other applicable legislation.

5. Guest Count and Minimums

  • Estimated Guest Count: A reasonable estimated guest count is required at the time of booking. This estimate is used to determine initial pricing, staffing, equipment requirements, and event planning.
  • Final Guest Count: The final guaranteed guest count must be provided no later than 10 days before the event, unless otherwise agreed in writing. Reductions after this deadline will not reduce the agreed charges. Any increases are subject to availability and may result in additional charges.
  • Final Billing: Catering charges will be based on the greater of the final guaranteed guest count or the actual number of guests served. Any additional guests or approved services beyond the agreed scope will be invoiced accordingly.
  • Minimum Requirements: Certain events may be subject to minimum guest counts or minimum booking values. Any applicable minimums will be disclosed in the proposal and confirmed in the Service Agreement.

Where an ingredient becomes unavailable, we may recommend a suitable substitution while maintaining the intended quality of the menu. Any material changes to agreed menu items will be communicated to the Client for approval.
  • Dietary Requirements: We can accommodate many dietary preferences and restrictions with advance notice. The Client is responsible for collecting and communicating guests’ dietary requirements and food allergies to Fyrestoke in writing no later than 14 days before the event. Requests received after this deadline will be accommodated where reasonably possible.

  • Leftover Food: Any food that has exceeded safe holding times, been exposed to contamination, or cannot be safely stored or transported may be discarded at Fyrestoke’s discretion. Food safety decisions will be made in accordance with applicable public health requirements.
  • Leftover Requests: Clients may request to retain leftover food following their event. Fyrestoke will accommodate these requests where food remains safe for consumption and appropriate packaging and storage arrangements are available. The availability of leftovers is not guaranteed.
  • Transfer of Responsibility: Once food has been safely transferred to the Client or their designated representative, the Client is responsible for subsequent handling, transportation, refrigeration, reheating, and storage. Fyrestoke is not responsible for food safety issues caused by improper handling after transfer. This does not limit Fyrestoke’s responsibility for its own acts or omissions or any obligations imposed by law.

8. Service Styles and Staffing

  • Service Styles: Fyrestoke’s primary catering experience is The Fyrestoke Feast, featuring onsite live-fire cooking, a complete menu, signature food displays, and a professionally served buffet. Additional services, including cocktail hour, late-night grazing, and other catering arrangements, are provided when specifically included in the accepted proposal and Service Agreement.
  • Staffing and Service: Fyrestoke provides the culinary and service personnel necessary to deliver the agreed catering experience. Staffing levels are determined by guest count, menu requirements, service format, venue conditions, and event duration. The agreed service includes the responsibilities outlined in the proposal and Service Agreement.
  • Additional Staffing Requirements: Events requiring extended service, additional food stations, complex venue arrangements, or services beyond the original agreement may require additional personnel. Any additional staffing charges will be communicated to the Client and require written approval.
  • Service Hours and Overtime: Setup, food service, and breakdown will follow the agreed event schedule. Client-requested extensions beyond the contracted service period are subject to staff availability and additional charges. Overtime will be billed at the agreed hourly rate, with a one-hour minimum per additional staff member. Additional charges must be approved by the Client or their designated representative.
  • Other Catering Arrangements: Where Fyrestoke agrees to provide drop-off catering or another service format, staffing, delivery, setup, and service responsibilities will be outlined separately in the accepted proposal and Service Agreement. Onsite staffing is not included in drop-off catering unless expressly agreed upon.

9. Access, Setup, Rentals, and Utilities

  • Venue Access and Setup: The Client is responsible for ensuring Fyrestoke has safe and timely access to the venue for equipment delivery, setup, food preparation, service, and breakdown. Adequate working space, unloading areas, and access routes must be available as agreed during event planning.
  • Live-Fire Kitchen Requirements: Events featuring onsite live-fire cooking require a suitable, approved cooking area with adequate space, ventilation, clearance from combustible materials, and safe access for equipment and staff. The venue must permit the agreed cooking methods. Fyrestoke will assess the proposed setup and may adjust equipment placement or cooking arrangements to meet safety and operational requirements.
  • Utilities and Facilities: The Client is responsible for ensuring that any agreed venue-provided utilities and facilities, including electricity, potable water, kitchen access, and waste disposal arrangements, are available and suitable for the event. Fyrestoke will provide its own mobile cooking, holding, and service equipment as outlined in the accepted proposal. Any additional utility or equipment requirements will be communicated during planning.
  • Rentals and Equipment: Tables, chairs, dinnerware, linens, tents, generators, and other rental items may be arranged by Fyrestoke or directly by the Client. Rental costs, responsibilities, and applicable conditions will be identified and approved before commitments are made. The Client is responsible for loss or damage caused by the Client, their guests, or their representatives, except to the extent caused by Fyrestoke or another responsible party.
  • Additional Venue and Access Costs: Additional expenses related to parking, restricted access, elevators, extended load-in or breakdown periods, special equipment handling, or other venue-specific requirements may result in additional charges. Any such charges, including applicable coordination or administrative fees, will be communicated and require Client approval before being incurred.
  • Changes to Venue Conditions: If actual venue conditions differ materially from those agreed during planning, Fyrestoke will work with the Client to identify suitable adjustments. Changes affecting services, equipment, staffing, or pricing will be documented and approved in writing. Fyrestoke retains the ability to take immediate action where necessary to address a safety concern.

10. Venue Requirements and Permits

  • Venue Approvals: The Client is responsible for ensuring the event venue or property owner permits the agreed catering services, including onsite cooking, live-fire equipment, and the use of designated preparation and service areas where applicable. Any venue restrictions or requirements must be communicated to Fyrestoke during event planning.
  • Permits and Regulatory Compliance: Each party is responsible for obtaining the permits, licences, approvals, and inspections legally required for its respective activities. Fyrestoke is responsible for applicable food-service and public health requirements. The Client is responsible for event-related and venue-specific permits and approvals assigned to them in the Service Agreement. Fyrestoke may assist with coordinating these requirements when agreed upon in writing.
  • Venue Coordination: The Client agrees to provide necessary venue information, restrictions, and approval documentation within a reasonable timeframe before the event. Fyrestoke will cooperate with venue management and applicable authorities regarding catering operations, equipment, and service arrangements.
  • Venue Fees and Additional Charges: Venue-imposed fees, including kitchen-use charges, security, waste disposal, special permits, or additional venue services, may be the responsibility of the Client when disclosed and agreed upon in advance. Any additional charges requiring Fyrestoke’s coordination must be approved by the Client before being incurred, except where otherwise permitted under the Service Agreement.
  • Approval Restrictions: If necessary venue permissions or regulatory approvals cannot be obtained, Fyrestoke will work with the Client to identify suitable alternatives where possible. Any changes to the agreed services or additional charges must be confirmed in writing. Fyrestoke will not proceed with any activity that cannot be performed safely or lawfully.

  • Alcohol Service: Fyrestoke Catering Co. does not supply, sell, handle, or serve alcoholic beverages. Alcohol and bartending services are not included in any Fyrestoke catering package.
  • Licensing and Permits: The Client, venue, or designated alcohol service provider is responsible for obtaining all required liquor licences, permits, and approvals in accordance with applicable Ontario laws and venue regulations.
  • Service Responsibilities: All alcohol-related arrangements, including purchasing, transportation, storage, serving, staffing, and responsible consumption, are the responsibility of the Client, venue, or designated alcohol service provider.
  • Liability: Fyrestoke is not responsible for alcohol service or related activities conducted independently by the Client or third parties, except to the extent liability arises from Fyrestoke’s own actions or obligations under applicable law.

12. Outdoor Events, Weather, and Fire Safety

  • Weather Contingency Planning: Outdoor events must have suitable contingency arrangements for adverse weather, including rain, high winds, extreme temperatures, or other conditions that may affect catering operations. The Client is responsible for ensuring agreed venue-provided shelter, tenting, flooring, and other protective arrangements are available. Fyrestoke will coordinate its operational requirements during event planning.
  • Live-Fire Cooking and Safety: All live-fire cooking is subject to applicable fire regulations, municipal bylaws, venue restrictions, and current fire conditions. Fyrestoke reserves the right to modify, suspend, or discontinue live-fire cooking where necessary to protect guests, staff, property, or equipment.
  • Alternative Cooking Methods: Where open-flame cooking is restricted or unsafe, Fyrestoke may use alternative cooking methods, including propane, electric equipment, or approved kitchen facilities, where legally permitted and operationally feasible. We will make reasonable efforts to maintain the agreed menu, food quality, presentation, and service standards. Any material changes to the contracted experience will be discussed with the Client.
  • Unsafe Event Conditions: Fyrestoke may temporarily suspend or adjust catering operations where severe weather, unsafe ground conditions, inadequate shelter, fire hazards, or other circumstances create an unacceptable safety risk. The Client and Fyrestoke will work together to identify reasonable alternatives where possible.
  • Event Disruptions: Where weather, fire restrictions, or other circumstances prevent the agreed services from proceeding, the parties will refer to Section 13, Force Majeure, and any applicable provisions of the Service Agreement. Any financial adjustments, postponements, or cancellations will be handled in accordance with those provisions and applicable law.

13. Force Majeure

  • Events Beyond Reasonable Control: Neither Fyrestoke nor the Client shall be held responsible for failure or delay in fulfilling contractual obligations directly caused by extraordinary circumstances beyond their reasonable control that prevent safe, lawful, or reasonable performance of the agreed services. Such circumstances may include severe weather, natural disasters, wildfires, mandatory fire restrictions, government orders, public health emergencies, major utility failures, or other significant unforeseen events.
  • Notification and Reasonable Efforts: If a force majeure event occurs, the affected party must notify the other party as soon as reasonably possible. Both parties agree to make reasonable efforts to minimize disruptions, explore suitable alternatives, and preserve the agreed services wherever safely and legally possible.
  • Alternative Arrangements and Postponements: Where the original event arrangements cannot proceed, Fyrestoke and the Client will make reasonable efforts to identify an alternative service arrangement or mutually acceptable event date. Any revised arrangements, additional costs, or changes to services must be agreed upon in writing. Payments already received will be applied toward an approved rescheduled event, subject to any agreed adjustments.
  • Cancellations and Refunds: If a qualifying force majeure event prevents the agreed services from proceeding and no suitable alternative or rescheduled date can be agreed upon, Fyrestoke will refund payments received, less reasonable, documented, non-recoverable event-specific costs already incurred or unavoidably committed. Any deductions will account for costs that can reasonably be avoided or recovered. The same expense will not be charged twice. Refunds remain subject to applicable law and will be processed within 15 calendar days, or sooner where legally required.
  • Circumstances Not Covered: Financial difficulties, changes in personal preferences, ordinary scheduling conflicts, increased operating costs, or avoidable staffing and equipment shortages do not independently qualify as force majeure. Client-initiated cancellations that do not qualify under this section remain subject to Section 4, Cancellations and Refunds.
  • Applicable Law: Nothing in this section limits either party’s rights or obligations under applicable law, including statutory consumer protection rights.

14. Damages and Liability

  • Client Responsibility for Damages: The Client is responsible for reasonable costs associated with damage to venue property, rental equipment, or Fyrestoke-owned equipment caused by the Client, their guests, or vendors hired by the Client, to the extent permitted by law. This excludes normal wear and tear and damage caused by Fyrestoke’s negligence or misconduct.
  • Damage Assessment and Charges: Any damage or loss for which the Client is responsible will be documented and assessed based on reasonable repair or replacement costs. Fyrestoke will provide supporting details for any associated charges. Charges for third-party rental equipment will also be subject to the applicable rental agreement.
  • Fyrestoke’s Responsibility: Fyrestoke remains responsible for damage, injury, or loss resulting from its own negligence, misconduct, or the actions of persons for whom it is legally responsible. Fyrestoke is not responsible for losses caused solely by unrelated third parties or circumstances outside its control.
  • Limitation of Liability: To the maximum extent permitted by law, Fyrestoke’s total liability for direct financial losses arising solely from a failure to provide the contracted catering services will not exceed the amount paid to Fyrestoke for the affected event. This limitation does not apply to death, personal injury, physical property damage caused by Fyrestoke’s negligence, wilful misconduct, or any liability that cannot legally be limited.
  • Indirect and Consequential Damages: To the extent permitted by law, neither party shall be liable for indirect, incidental, special, or consequential financial losses arising from the agreement, including lost profits or business opportunities, except where such liability cannot lawfully be excluded.
  • Applicable Law: Nothing in this section removes or restricts any rights, remedies, or responsibilities that cannot legally be excluded under applicable law.

  • Commercial Liability Insurance: Fyrestoke maintains commercial general liability insurance for its catering operations. Proof of insurance may be provided upon reasonable request, subject to the terms, conditions, exclusions, and limits of the applicable insurance policy.
  • Certificates of Insurance and Additional Insured Requirements: Where a venue or other party requires a Certificate of Insurance or additional insured status, Fyrestoke will coordinate the request with its insurance provider. Additional insured coverage is subject to insurer approval and applicable policy endorsements. Any additional costs associated with special insurance requirements will be communicated to the Client for approval before being incurred.
  • Client Indemnification: To the extent permitted by law, the Client agrees to indemnify and hold harmless Fyrestoke, its owners, employees, and contractors against reasonable third-party claims, damages, liabilities, and associated legal expenses to the extent caused by the Client’s breach of the Service Agreement, negligence, or wilful misconduct, including actions of guests or Client-appointed vendors for which the Client is legally responsible.
  • Fyrestoke’s Responsibility: The Client is not required to indemnify Fyrestoke for claims or losses to the extent caused by Fyrestoke’s negligence, wilful misconduct, or the actions of persons for whom Fyrestoke is legally responsible. Liability remains subject to Section 14, Damages and Liability, and applicable law.
  • Claims and Cooperation: Both parties agree to notify one another promptly of any incident or claim that may affect their responsibilities under the Service Agreement and to reasonably cooperate in documenting and resolving the matter.

  • Client Preferences: Clients may request that photography or videography be restricted or excluded from their event. Such requests should be communicated in writing before the event whenever possible. Fyrestoke will respect these preferences and applicable venue restrictions.
